Athlete's Gift Shop Partner Agreement

1. The program

This agreement is between you and Smith Businesses, LLC, doing business as Athlete's Gift Shop ("AGS", "we"). As an AGS partner you share AGS products with your team, club or organization, or with your audience, using your own discount code and link. You can read this agreement again any time in your partner portal.

2. Your code, link and split

You get one discount code and links that apply it. Your total is 30%. You choose how it is split between your customers' discount and your commission, in whole percents, and you can change the split in the portal as often as you like. A change applies to orders placed after it; earlier orders keep the split they were placed under. Your code can't be combined with other discounts or sales codes.

3. Codes and links

You pick your own code. Each code works for 90 days, then expires; your portal will remind you to make a new one, and a code that has been used before can't be used again. When you make a new code, your old one keeps working for up to 7 more days (never past its own 90 days). Orders placed with your code while it works are credited to you under the commission rules in this agreement. Your permanent partner links apply your newest working code while your partnership is active; if your code has expired, they give no discount until you make a new one. If your code shows up on a coupon or deal site, or a change to your split can't be applied to it, we may end it early and ask you to make a new one. Don't post your code or links on coupon or deal sites.

4. What earns commission

An order earns commission only when it uses your code (your link applies it). Commission is your commission percent of what the customer paid for products on that order, after all discounts and before tax, shipping and gift cards. Orders you place for yourself (or to an email or customer account that is yours), Product for content orders, marketplace orders (such as Amazon or Etsy) and test orders don't earn commission. One partner per order.

5. When you're paid

Commission is held for 30 days after the order. If the order is cancelled or fully refunded in that time or later, its commission is removed; a partial refund reduces it in proportion. After the hold it becomes payable, and we pay what's payable, usually once a month, by the payment method in your profile: PayPal or Venmo (and bank transfer once we offer it). A payment is made when PayPal (for PayPal and Venmo) or our bank, Mercury, confirms it was sent; if it fails or comes back, the commission stays payable and we pay it once your payment details are fixed. If a refund comes after we've paid you, the difference is taken from your next payment.

6. Taxes

You're responsible for your own taxes. If what we pay you in a calendar year, including “Product for content” refunds, reaches $2,000, we'll ask for a W-9 and send you a 1099-NEC; a payment that would take you to $2,000 or more in that year is held until we have your W-9.

7. Staying active

Your code stays active while you're active: a sale with your code or a sign-in to your portal at least once every 30 days. We'll email you on days 20, 25 and 29 without activity. On day 30 your code is paused; commission already earned is still paid, and you can ask us to turn the same code back on.

8. How you promote AGS

Tell people clearly that you earn from your link or code, every time you post it — for example "#ad", "I earn a commission" or the platform's paid-partnership label. Describe products truthfully and only say what you know from your own experience. Don't: bid on "Athlete's Gift Shop" or our product names in Google, Bing or other search ads; post your code on coupon or deal sites; send spam; make up reviews or ask anyone for a review in return for a discount; or suggest you work for AGS.

9. Product for content

If you claim a product to make content with, the separate Product for content terms in the portal apply (one claim per 12 months, up to $100 of merchandise refunded after we approve your content). It pays for content, never for a review or a rating.

10. Our name and your content

You may use the AGS name, logo and product photos only to promote AGS under this agreement. Content you send us through the portal you license to AGS to use, edit and share in our own channels and ads, without further payment, with the disclosure it needs; you confirm you have the rights to it and consent from anyone shown in it.

11. Independent partner

You're an independent contractor, not an employee or agent of AGS. Keep anything we share with you that isn't public confidential.

12. Teams, clubs and schools raising funds

This section applies when you join for a team, club, school or other group raising funds. You accept this agreement for the group and you're the partner we deal with: we pay commission to you, as in section 5, and how it reaches the group is up to you and the group. Everything else in this agreement applies the same way. Taxes under section 6 apply to you as the partner we pay.

13. Emails

We'll email you about your account, payments and the program. You can reply to any of them.

14. Ending

Either of us can end this agreement at any time. We may end it straight away if these terms are broken. Commission already payable on qualifying orders is still paid.

15. Changes and law

We may update this agreement; we'll ask you to accept the new version in the portal before you keep using the program. This agreement is governed by the laws of Virginia.
